1. Agreement to Terms

By accessing or using HeyVexa (accessible via https://www.heyvexa.com), developed, owned, and operated by DATASMART TECHNOLOGY, you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use our software or services.

2. Description of Service

HeyVexa is an AI-powered ecommerce content operating system operated by DATASMART TECHNOLOGY that enables merchants and brands to convert verified product inventory and photos into grounded multi-format video renders (9:16 vertical, 1:1 square, 16:9 widescreen), brand-governed marketing content packs, workspace team review workflows, and truthful multi-channel publishing across connected social platforms including TikTok, Instagram Reels, Facebook, and YouTube Shorts.

3. Credit System & Pricing Plans

HeyVexa operates on a transparent credit model:

• Multi-Format Render: Synchronized 9:16 vertical, 1:1 square, and 16:9 widescreen video exports with platform safe-zone snapping.
• AI Voiceover & Subtitles: Studio voice synthesis and automated kinetic captions.
• Direct Social Publishing: Native OAuth publishing to connected channels (TikTok, Instagram, Facebook, YouTube Shorts) with real-time status reporting.

Plans are billed monthly or annually via Stripe (Free Trial: 30 gift credits; Starter Creator: 100 credits/mo at $19.99; Growth Pro: 250 credits/mo at $39.99; Scale Performance: 600 credits/mo at $79.99; Enterprise Matrix: 1,500 credits/mo at $159.99). Subscriptions renew automatically until cancelled in Account Settings.

4. Refund & Cancellation Policy

You can cancel your subscription at any time. Upon cancellation, your access remains active through the current paid billing cycle. If you experience technical failures during credit consumption, contact contact@heyvexa.com for credit reimbursement.

5. Acceptable Use, Commercial Rights & Distribution by Default

You retain 100% intellectual property ownership of all product photos, brand logos, trademarks, and catalog data uploaded to HeyVexa. By accessing the platform, uploading product media, or initiating video renders, you represent, warrant, and affirm by default that you possess all necessary commercial rights, licenses, and permissions to use, modify, synthesize, and distribute the submitted assets.

You grant DATASMART TECHNOLOGY / HeyVexa a non-exclusive, worldwide, royalty-free operating license solely to process multimodal vision recon, render 60fps commercial videos, generate listings, and publish assets to your connected third-party social accounts (including TikTok) and storefront links at your direction. You agree not to use the platform to generate fraudulent listings, counterfeit product offers, or illegal material.

6. Limitation of Liability & Governing Law

HeyVexa is provided "as is". DATASMART TECHNOLOGY shall not be liable for indirect or consequential damages. These terms are governed by the laws of the United States.
